Terms of Service

The Short Version

Legal terms are dense, so here is a plain-English summary. It is a convenience, not a substitute — the full Terms below are what you are agreeing to.

1. Who We Are and What These Terms Cover

These Terms of Service ("Terms") are an agreement between you and AI Battle, Inc., a Delaware corporation ("AI Battle", "we", "us", or "our"). They govern your use of TeamClash — the app, the features inside it, and the systems behind it (together, the "Service"). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

TeamClash is funded by optional Pro subscriptions, not by advertising. We do not show third-party ads, we do not sell your personal information, and we do not track you across other companies' apps or websites. If you never subscribe, you can still use the free features of the Service.

6. TeamClash Pro Subscription

TeamClash Pro ("Pro") is an optional auto-renewable subscription that unlocks additional features. Two plans are offered: Pro Monthly at $2.99 per month and Pro Yearly at $24.99 per year (US pricing; local prices may vary). Each plan includes a 7-day free trial for new subscribers.

Payments are processed by Apple or Google, and refunds are handled under their policies. Except where required by law or by Apple's or Google's policies, payments are non-refundable.

7. Gold Coins and Virtual Items

The Service may grant promotional virtual items such as gold coins. Gold coins have no cash value, are non-transferable, are not redeemable for money or anything of value outside the Service, and may be modified or discontinued at any time in our discretion. Virtual items are a limited license to use a feature of the Service, not property.

8. Your Content and the Permissions You Give Us

You own your content. Anything you post in the Service — messages, posts, photos, videos, highlight clips ("User Content") — remains yours. We claim no ownership of it, and nothing in these Terms changes your rights in it.

You give us a license so the Service can work. To show your post to your team, store your photos, and deliver your messages, we need your legal permission (a "license"). By posting User Content, you grant AI Battle a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt solely for technical purposes (for example, transcoding video so it plays on different devices), and display your User Content — including through the service providers listed in our Privacy Policy — for the purpose of operating and providing the Service, consistent with the audience settings you choose. You represent that you have the necessary rights to the User Content you post, including any consents needed to share images of minors.

Media-consent indicators are informational. Teams can record in the app whether a player's family has said that photos and videos of that player may be shared. These indicators reflect information entered by the player's family or by team staff, and are provided as a convenience and a reminder. They are not a representation by AI Battle that consent was obtained or verified, and they do not change your responsibility under this section to have the necessary permissions before posting images of others, including minors.

The license ends when you delete. When you delete a piece of User Content, or delete your account, the license you granted us for that content ends. Deleted content immediately stops being visible to other users. Content you delete individually is removed from our production systems; if you delete your whole account, you can restore it — and the content that came with it — by signing in again within 30 days, and after that window the account and its content are permanently erased. Residual copies may persist in our encrypted backups for up to 90 days before they are cycled out, and we may retain limited records where the law requires it or where the content is part of an open violation, safety, or legal matter — in which case we keep it only as long as that purpose requires.

Software updates. You agree that we may download and install updates to the app on your device where your device settings allow it.

A community app for youth sports only works if everyone does their part. You agree not to:

10. Reporting, Content Removal, Suspension, and Appeals

We have zero tolerance for objectionable content and abusive users. You can report any post, comment, or user from its menu in the app, and you can report any chat message — including a direct message — by pressing and holding it. You can block any user from their profile, from a post or comment menu, or manage your blocks under Account → Blocked users. Blocking hides your content and the blocked user's content from each other throughout the Service, including posts, comments, and messages. Every report is sent to our moderation team for review; we review reports and act on reported objectionable content within 24 hours, including by removing the content and, where warranted, removing the user who posted it, and we keep a record of each report and the action taken on it.

We may remove or refuse any User Content, and may suspend or terminate accounts, if we believe these Terms have been violated or we are required to do so by law. Where the violation is severe, ongoing, or creates risk to minors or to the Service, we may act without advance notice; otherwise we will tell you what was removed or restricted and why, so far as we reasonably can.

Appeals. If you believe we removed your content or suspended or terminated your account in error, email [email protected]. Tell us which content or account decision you are appealing and why you think it was wrong. We will review your appeal and respond with our decision.

We are not responsible for User Content posted by others, and we do not endorse it.

11. Sports Data and Ratings

Game results, standings, team names, and rosters shown in the Service may be derived from publicly available league sources. Team ratings and rankings are AI Battle's own statistical estimates. They are provided for informational and entertainment purposes only, and we make no warranty as to their accuracy, completeness, or timeliness. Ratings are not an official evaluation of any team or player and should not be relied on for decisions of consequence, such as tryouts, roster placement, or recruiting.

12. Our Intellectual Property

The Service, including its software, design, text, graphics, logos, and the TeamClash name and marks, is owned by AI Battle or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the app for your personal, non-commercial use in accordance with these Terms. All rights not expressly granted are reserved.

Copyright infringement notices (DMCA). If you believe content in the Service infringes your copyright, send a notice that satisfies 17 U.S.C. § 512(c)(3) to our designated agent, registered with the U.S. Copyright Office:

Include enough detail for us to locate and evaluate the content, such as the URL or in-app location of the material and identification of the copyrighted work. Counter-notices under 17 U.S.C. § 512(g) may be sent to the same agent. We respond to copyright notices and, in appropriate circumstances, will terminate the accounts of repeat infringers.

13. App Stores and Third-Party Services

The Service is distributed through the Apple App Store and Google Play, and purchases are processed by Apple and Google under their own terms. Apple and Google are not responsible for the Service or its content and have no obligation to provide support or maintenance for it. You acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to your use of the iOS app and may enforce these Terms against you. The Service may also link to or display content from third-party sources; we are not responsible for third-party services or content.

You must comply with applicable third-party terms when using the Service (for example, your app store's terms and your wireless carrier's data agreement). You represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.

14. Changes to the Service; Termination

The Service will evolve. We may add, modify, or retire features as we improve TeamClash. If we discontinue the Service entirely, or make a change that materially reduces what an active paid subscription provides, we will give you reasonable advance notice where practicable — for example, in the app or by email — so you can export your content and manage your subscription in your app-store settings before the change takes effect.

You can leave at any time. You may stop using the Service whenever you like and may delete your account in the app on the Account screen.

We can suspend or terminate access. We may suspend or terminate your access to the Service for conduct that violates these Terms or harms other users or the Service, following the process (including the appeal path) described in Section 10.

Survival. If your account is deleted or terminated, or the Service is discontinued, the sections of these Terms that by their nature should continue — including Sections 7, 8 (the license wind-down), 11, 12, and 15 through 20 — survive.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI BATTLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

17. Indemnification

You agree to indemnify and hold harmless AI Battle and its officers, directors, employees, and agents from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Service, or your violation of these Terms or of any third party's rights.

18. Governing Law and Where Disputes Are Resolved

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in King County, Washington, and you consent to personal jurisdiction and venue there. Nothing in this section limits any non-waivable consumer rights you may have under the laws of your place of residence.

19. Updates to These Terms

As the Service changes, these Terms may need to change with it. If we make material changes, we will provide notice — for example, in the app or by email — before the changes take effect, and we will update the effective date above so you can see when the Terms last changed. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree with an update, stop using the Service and delete your account in the app before the update takes effect.
